Membership in DROBE Stogies is exclusive, limited and required. It is the intent of the DROBE Stogies to limit its rules and regulations to the minimum required for the mutual enjoyment of DROBE Stogies by all of its Members. It is also the obligation of DROBE Stogies to enforce these rules and regulations for the good of all Members. Minors Persons under the age of 21 are not permitted in the Lounge.
Access to the lounge will be ONLY granted by scanning valid with one the following:
⦁ Membership Card
⦁ Guest Pass
⦁ Day Pass

Non-member will be required to show valid guest pass or purchase a Day Pass at the front desk.
Conducting Business
Business-related documentation should be handled and displayed discreetly. Quiet discussions and the use of papers and laptop devices (with sound muted) by groups of no more than three are permitted in the Lounge. Cellular phones may only be used in a manner that does not disturb other members or their guests. Texting by cellular phone is permitted with the sound muted. The display of merchandise or business products and solicitation of said products or services by members to other members and/or guests is not permitted. The Lounge name, street address, email address, and/or telephone numbers are not permitted for use as contact information on Member’s personal or business-related correspondence or other materials.

Member Events and Seating Members
Member Events and Seating Members are encouraged to make reservations, four hours ahead of arrival, to reserve seats.

Miscellaneous
⦁ Boisterous or indecent language or conduct will not be tolerated in the Lounge. Members are encouraged to report such conduct to Management.
⦁ Member should leave the Lounge in the same condition as it was found upon arrival as a courtesy to others.

Understand Rules
By entering the lounge via Membership Card, Guest Pass or Day Pass it is the duty of the members/guest to know DROBE Stogies Rules and Regulations and to cooperate with the management of DROBE Stogies in enforcement thereof. Failure to comply with the terms and conditions of membership may lead to termination of membership at the sole discretion of DROBE Stogies Management.

Membership Payments
The term of this Membership Agreement is in perpetuity from its execution and will automatically renew with Member’s quarterly membership renewal. The membership fee will be charged to the method of payment submitted with the Membership Application on Member’s renewal date unless written notice of cancellation is received by DROBE Stogies 30 days prior. Membership privileges may be suspended or revoked for non-payment of fees.

Cellular Phones
Cell phones are permitted in DROBE Stogies with the following stipulations:
⦁ phones should be set to the quietest ring setting or vibration mode
⦁ phone conversations should be limited to no more than three minutes
⦁ the Member’s voice level should remain low throughout the conversation.

Be considerate and aware of other Members.

Guest
Associate, Executive, Chairmen and Lifetime Members are granted a number of guests passed annually but may no bring more than three guests at a time.

Our system allows members to instantly share guest passes with friends and family. This flexibility allows guests to visit at their convenience.
⦁ Member sends from their wallet to their guest wallet
⦁ The passes are fully compatible with both iPhone and Android devices, ensuring that guests can instantly access their admission tickets at any time.
⦁ Guest Passes can be saved directly into a phone’s native Apple or Google wallet, offering quick and convenient access to guests.
⦁ Guest will have their guest pass QR codes scanned and will be allowed entry into the lounge
⦁ Associate, Executive, Members Spouse guests may accompany Member free of charge.
⦁ Chairman and Lifetime Members Spouse can entry to lounge unaccompanied and has the same privileges of Membership.

Storage
Member agrees not to store any illegal products/items at DROBE Stogies and acknowledges that doing so will be grounds for immediate termination of membership and all membership rights and forfeiture of any and all rights/claims to a refund of membership fees. Further, Member hereby agrees to indemnify DROBE Stogies for any liability and legal fees incurred by DROBE Stogies as a result of such illegal storage and/or activity.

DROBE Stogies reserves the right to access without notice any private humidor locker for the purpose of maintenance, inspection, and/or in the event there is risk of damage to property.
⦁ To avoid the potential for agricultural pest infestation (e.g. tobacco beetle) of cigars stored in the Lounge’s private lockers, all cigars shall be inspected by a member of Management before being placed in a Member’s locker.
⦁ Members are not permitted to install their own lock on a locker.
⦁ Lockers cannot be used to store items that may violate any federal, state or city laws. If upon inspection of lockers, items that which have neither been inspected and/or approved or violate some federal, state or city law are found, the items may be confiscated and/or destroyed without the reimbursement of member. However, before such action is taken, the member shall be given twenty-four (24) hours’ notice to have the item(s) removed.
⦁ The Lounge is not responsible for articles left in the lockers or in other areas of the DROBE Stogies.
⦁ It is highly recommended that cigars be kept in boxes inside the locker. Each brand of cigar possesses its own subtleties in bouquet and flavor, which may be lost if different blends are not kept separate.
⦁ Upon termination of membership, all locker contents must be removed within 24 hours or items shall be deemed abandoned and will be disposed of in any manner Management may elect.
⦁ If a locker key is misplaced or lost, a $45 nonrefundable fee will be charged to replace the lock and key.

BYOB
Chairmen and Lifetime Members ONLY are permitted to bring and leave one private beverage (bottle) to the bar for personal consumption.

Member acknowledges that the ability to consume private beverages in the Lounge is a privilege and Member (and guest if applicable) will consume such beverages in a responsible manner.
Food
Each Member is permitted to bring or have delivered to the Lounge prepared foods for his/her personal consumption. DROBE Stogies sponsored special events are exempt from this rule. No food preparation is permitted in the DROBE Stogies.

Damages
Damage to DROBE Stogies furniture or fixtures as a result of Member carelessness or disregard shall be replaced or repaired at Member’s expense. The Members are encouraged to report such damage to Management.

Suspension or Revocation
DROBE Stogies reserves the right to revoke the membership of any person in violation of membership policies, rules, or for misconduct.

Membership privileges may be suspended or revoked for failure to abide by and adhere to any of the rules, regulations, and policies set forth in this agreement.

Refusal of Service
DROBE Stogies reserves the right to refuse service and/or access to the premises to any Member, guest and non-member.

MODIFICATION
DROBE Stogies reserves the right to modify this Agreement at any time. LIMITATION OF LIABILITY THE UNDERSIGNED HEREBY ACKNOWLEDGES THAT THE USE OF DROBE STOGIES FACILITY AND ANY PRIVILEGE OR SERVICE INCIDENT TO MEMBERSHIP IS UNDERTAKEN WITH KNOWLEDGE OF RISK OF POSSIBLE INJURY. I HEREBY ACCEPT ANY AND ALL RISK OF INJURY TO MYSELF AND MY GUESTS SUSTAINED WHILE USING DROBE STOGIES OR IN ANY EVENT OR ACTIVITY INCIDENT TO MEMBERSHIP IN DROBE STOGIES. I UNDERSTAND THAT I AM RELIEVING DROBE STOGIES, ITS AFFILIATES, SUCCESSORS, AND ASSIGNS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, PARTNERS, SHAREHOLDERS, MEMBERS, EMPLOYEES, AND AGENTS FROM ANY AND ALL LOSS, COST, CLAIMS, INJURY, DAMAGES, OR LIABILITY SUSTAINED OR INCURRED BY ME AND MY GUESTS IN CONNECTION WITH MEMBERSHIP IN DROBE STOGIES AND USE OF DROBE STOGIES’ FACILITY. NEITHER DROBE STOGIES NOR ITS PROPRIETORS SHALL BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM OR RELATING TO THIS AGREEMENT, MY DROBE STOGIES MEMBERSHIP, OR USE OF THE DROBE STOGIES FACILITY. WHETHER IN CONTRACT OR TORT OR OTHERWISE, ANY AGGREGATE LIABILITY SHALL BE LIMITED TO ACTUAL DIRECT OR INDIRECT DAMAGES THAT CAN BE PROVED UP TO AN AMOUNT NOT TO EXCEED $500.

IMPOSSIBILITY & LEGALITY
In the event the operation of this Lounge becomes impossible or impractical due to changes in the legalities associated with the operation of a cigar lounge or establishment that permits smoking in the County of Los Angeles or the City of Inglewood or other circumstances out of DROBE Stogies’ control, DROBE Stogies shall not be liable for any portion of any annual fees paid in advance and any and all such claims to refunds or prorated portions of a refund are hereby and forever waived by execution of this Agreement.

ENTIRE AGREEMENT
This Agreement, in conjunction with the Membership Application, shall constitute the entire agreement between you and DROBE Stogies regarding your membership and the duties and obligations of all parties associated therewith, and it shall supersede any and all prior negotiations, representations, warranties, undertakings, or agreements, written or oral, between the parties.

SEVERABILITY
To the maximum extent possible, each provision of this Agreement shall be interpreted in such manner as to be valid and enforceable under applicable law. If any provision of this Agreement is held to be invalid or unenforceable under applicable law, such provision shall be modified so as to be rendered valid and enforceable while implementing, to the maximum extent possible, the original intent of such provision. If such modification is not possible or allowed, then such provision shall be ineffective only to the extent of such unenforceability or invalidity without affecting the remainder of such provision or any other provisions in this Agreement.

CHOICE OF LAW
In the event litigation is required based on the terms of this Agreement, the parties hereby agree that any and all such litigation shall be settled by arbitration administered by JAMS, the American Arbitration Association or Alternative Dispute Resolution Service. The place of arbitration shall be Los Angeles, CA. and California law shall apply. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

WAIVER & RELEASE
In exchange for membership in the DROBE Stogies, I hereby provide the following:
⦁ I recognize that there are certain risks associated with activities that take place at the DROBE Stogies, including, but not limited to, the effects of cigar smoking and secondhand smoke present in DROBE Stogies;
⦁ I hereby waive and release any and all claims for my heirs and myself and agree to hold harmless DROBE Stogies, its employees and owners from and against all actions, demands, liabilities, suits, costs, and expenses, including attorney fees and claims, both known, unknown, and unrecognizable, for negligence arising out of the use of the facilities, participation in DROBE Stogies events, and my membership in the DROBE Stogies; and
⦁ I have carefully read and agree to the terms and policies set forth in the DROBE Stogies Membership Application and Membership Agreement as it now exists and as it may be amended in the future.

I HAVE RECEIVED, READ, AND AGREED TO ABIDE BY THE RULES AND REGULATIONS SET FORTH IN THIS AGREEMENT AND THE MEMBERSHIP APPLICATION.
